CONSTITUTION AND BYLAWS OF THE SARANAC TEACHERS’ ASSOCIATION

ARTICLE I – NAME
The name of this organization shall be the Saranac Teachers’ Association.
ARTICLE II – PURPOSES
- the promotion of programs of educational organizations at the local, state, and national levels
- the maintenance of high standards of the teaching profession
- the support of the principle that teaching is a profession, and its members should act and be recognized as professionals.
- The promotion of a better understanding of the educational system between teachers and the community.
- The protection of rights of the members of the professional organization described in the negotiated contract.
ARTICLE III – MEMBERSHIP
Section 1 – All those regularly engaged in teaching or positions other than that of principal in the public schools of the Saranac Central School District shall be eligible for membership
Section 2 – Retired membership in the Association shall be open to any person who has previously held active membership and who has retired.
Section 3 – All retired members of this Association are lifetime honorary members
ARTICLE IV – OFFICERS AND DELEGATES
Section 1 – There shall be a President, Vice-President, Secretary, and Treasurer of this organization
Section 2 – Officers shall be elected at a regular meeting in May for a one-year term and shall assume office on June first.
Section 3 – Each building shall elect a Building Representative and an alternate for each 15 members or major portion thereof. These Building Representatives will serve on the Executive Committee.
Section 4 – Building Representatives shall be elected prior to the regular meeting of the Association in May and shall assume office June 1st.

Voting will be held in lobby of each building and there will be ballots and a sign-in sheet at each site. Absentee ballots will be issued from the election committee as per request and will be counted if received on the date specified.
In the event that a building representative wants to step down, elections will be done on the open position. (9/11/08)
Section 5 – There shall be a Delegate and an Alternate elected to represent the association at the New York State United Teachers Representative Assembly. Delegates shall be elected to represent the Association at the American Federation of Teachers Convention whenever possible. All Delegates and Alternates must be elected in accordance with the requirements and standards of the Landrum-Griffin Act. The Association will make every effort to cooperate with administrators and all teachers to see that a Delegate and Alternate are sent to the Annual Retirement Convention.
ARTICLE V – EXECUTIVE COMMITTEE
There shall be an executive Committee consisting of the Officers, Delegates, Chairs of Standing Committees, and Building Representatives.
ARTICLE VI – MEETINGS
Section 1 – There shall be at least two general meetings a year; one shall be held the first Thursday of the first teaching week of September, and the other shall be the annual business meeting the first Thursday in May for election of officers for the next year. This meeting shall be held at a time and place designated by the Executive Committee.
Section 2 – Special Meetings shall be called by a majority of the Executive Committee by the President.
Section 3 – Special meetings shall be called upon written request to the president and forwarded to the Executive Committee by twenty percent (20%) of the membership. Such meetings are to be held later than two (2) weeks after the date of the request.
Section 4 – Building Representatives may call building meetings as needed, and shall assume office at the scheduled June meeting. (9/1/04)
ARTICLE VII – QUORUM
A quorum for all general meetings of the Association and all committees shall consist of the members present.
ARTICLE VIII – AMENDMENTS
Section 1 – An amendment to the constitution may be introduced in writing by an Associating member through an executive member at any meeting of the Executive Committee. The proposed amendment shall be presented for action with recommendations of the Executive Committee not later than one month following the introduction of the amendment.
Section 2 — The Constitution may be amended at any meeting by a two-thirds vote of the membership present and voting provided notice of a proposed amendment has been given each member at least fifteen (15) days prior to the meeting at which a vote is to be taken.
Section 3 – Amendments to the Bylaws shall follow the same procedures as Article VIII, Section 1. The Bylaws may be amended at any meeting by a simple majority vote of the membership present and voting provided notice of a proposed amendment has been given each member at least fifteen (15) days prior to the meeting at which a vote is to be taken.
ARTICLE IX – PROTECTION OF RIGHTS OF MEMEBERS
Section 1 – Every member of this organization shall have equal rights and privileges to nominate candidates to hold office, to vote in elections or referendum, to attend membership meetings and to participate in deliberations and voting upon the business of the organization.
Section 2 — No member may be fined, suspended, expelled, or otherwise disciplined (except for non-payment of dues) by this organization unless such member has been served with written specific charges and given a reasonable time to prepare his defense and afford a full and fair hearing.
Section – 3 This organization shall show no discrimination toward any individual or group of individuals on the basis of sex, creed, color, race, national origin, or political activities and benefits.
BY-LAWS OF THE SARANAC TEACHERS’ ASSOCIATION
ARTICLE I – RULES OF ORDER
Robert’s Rules of Order, Revised, shall be the authority on all questions of procedure not specifically stated in this Constitution and Bylaws. A Parliamentarian shall be appointed by the President to serve for a full school year.
ARTICLE II – DUTIES OF OFFICERS
Section 1 – President:
- Shall preside at all meetings of the Executive committee and the Association.
- Shall be responsible for representing the Saranac Teachers’ Association at all meetings concerning Association business.
- Shall be an ex-officio member of all committees
- Shall request periodic progress reports from all committees and officers of the Executive Committee
- Shall create special committees when necessary.
Section – 2 Vice – President:
- Shall assume the duties of the president in his absence.
- Shall be responsible for the duties and responsibilities requested by the President and the Executive Committee.
- Shall take attendance at the Association meetings.
Section – 3 Secretary:
- Shall record and file minutes of all Association meetings and Executive Committee meetings.
- Shall file the Attendance record for each meeting.
- Shall attend to the correspondence of the Association.
- Shall make available a list of association members eligible to vote and provide that list to the election committee.
- Shall file ballots, tally sheets, and related election documents in a sealed envelope for one year.
- Shall at the end of his term of office turn over to the new Secretary the minutes, correspondence, and reports of the Association
- Shall file with the New York State United Teachers and the American Federation of Teachers the names of new officers.
Section – 4 Treasurer:
- Shall keep accurate records or all receipts and expenditures of the association.
- Shall disburse funds within the guidelines of the budget.
- Shall make payment to authorized members for bills incurred. These authorized members shall be selected by the executive committee at the beginning of the school year. A list of these members shall be sent to the Treasurer who shall not make payment to an unauthorized member for bills incurred unless the member has approval of the Executive Committee.
- Shall make financial reports to the Executive Committee and the Association
- Shall, at the end of his term of office, deliver to the new Treasurer all records and materials of office.
Section – 5 Building Representatives:
- Shall assume responsibility for keeping their buildings informed of all Association Business.
- Shall attend all Executive Committee meetings to represent their buildings.
- Shall report to a be responsible to the President.
- Shall be responsible for the distribution and collection of membership cards and dues deduction cards.
- Shall call building meetings as needed.
- Shall call a building meeting at the beginning of the school year for the purpose of acquainting old and new teachers with their duties, obligations, and contractual rights as Association members.
- Shall have an alternate elected from each building to fulfill the duties and the Building Representative in their absence.
ARTICLE III – DUTIES OF THE EXECUTIVE COMMITTEE
The Executive Committee shall;
- Make recommendations and decisions relating to Association activities.
- Review the reports of the various committees.
- Review proposals from members for presentation to the association.
- Act upon expenditures and authorize payment for expenditures not specifically outlined in the budget.
- Have authority to reallocate monies in the budget.
- make the agenda for Association meetings
- Approve or reject appointments of the President.
- Review the projected budget for the following fiscal year, September first to August thirty-first.
- Meet two weeks prior to a regular Association meeting, Meetings shall also be called whenever necessary.
ARTICLE IV – COMMITTEES
Section 1 – General Rules Governing Committees
- Each committee shall be formed by October fifteenth to establish its goals and priorities. The committee shall meet at least twice a year. Following each meeting, reports and recommendations shall be submitted in writing to the Executive Committee and the Association.
- Only Associating members shall be allowed to serve on committees.
- Each committee should be represented by a person from each building.
- Each committee shall elect its own chairperson.
- All members and chairpersons of standing committees and special committees shall be approved by the Executive Committee.
- Each committee chairperson shall notify all members of the committee at least one week in advance of the meeting date, if possible.
- Chairpersons of each committee shall serve on the Executive Committee.
- Records will be kept of proceedings and turned over to the newly elected chairperson every year.
Section 2 – Committees and their Responsibilities
- Negotiation Committee
- Shall survey member of the bargaining unit to help direct the Committee’s efforts.
- Shall solicit other committees for their service
- Shall prepare a package for presentation to the Board of Education
- Shall contact the Board of Education to notify it of the Association’s desire to negotiate.
- Shall attend all negotiating sessions.
- Shall inform the Bargaining Unit of the Committee’s progress.
- Shall present the Bargaining Unit with a Negotiated Agreement in writing at least 24 hours before a ratification meeting is held to vote on such agreement. (6/13)
- Shall keep up-to-date statistics which may be used for future bargaining.
- Shall continue contact with the Board of Education to better the working relationships.
- Shall have the Chairperson selected by the President. Both Chairperson and President shall determine the members of the negotiating committee.
- Public Relations Committee:
- Shall work toward understanding between community and school.
- Shall promote cooperation with community groups toward better education.
- Shall be responsible for publication of a newsletter.
- Scholarship and Awards Committee:
- Shall review all applications for scholarships and awards
- Shall select winners based on criteria set up by the committee.
- Shall include representation by a High School Guidance Counselors.
- Shall have the Vice-President serve as Chairperson.
- Shall submit a list of candidates to the High School Administrator to evaluate for citizenship.
- Shall provide a list of recipients to the Executive Committee at the June Executive Meeting.
- Social Committee:
- Shall be responsible for annual social events, one of which shall be an annual banquet for retiring teachers.
- Shall be responsible for purchasing gifts for the retiring professional personnel.
- Shall, with the approval of the Executive Committee, decide upon the amount to be spend for each gift.
- Grievance Committee:
- Shall become familiar with the provisions of the Saranac Teachers’ Association Constitution and Contract.
- Shall determine if violations of the contract have been committed and process them out by the provisions outlined by the contract.
- Shall be responsible for processing all grievances instituted by Association members and presenting them to the Executive Committee.
- Finance Committee:
- Shall be responsible for preparing the budget.
- Shall present this budget to the Executive Committee and the Association. This budget should be completed by the end of the current school year and shall be submitted for approval to the association at the first meeting in September.
- Shall have both the present Treasurer and the Treasurer-elect participate in the preparation of the budget.
- Shall assist in planning the financing of any special projects undertaken by the Association.
- Shall have the Treasurer serve as Chairperson unless the Committee votes to the contrary.
- Should be responsible for having the books audited at the close of the school year.
- Legislative Committee:
- Shall be responsible for reviewing and reporting to the Association information on pertinent State and National bills relating to education
- Shall encourage appropriate action when necessary.
- Flowers and Memorials Committee:
- Shall be responsible for purchasing flowers and memorial gifts for Association members and administrators who have suffered a death in the family (spouse, child, parent).
- Shall purchase memorials if it is felt that other persons should be remembered. Before such purchase an Executive Committee meeting, requested by two or more buildings, will be held (with the Flower Committee present) to authorize such remembrances. Contact may be made by telephone.
- Shall purchase flowers for members and administrators who are hospitalized for more than one week.
- Shall predetermine annually the amount to be spent for each memorial gift of flower arrangement with the approval of the Executive Committee.
- Shall have all other gifts other than those mentioned above, such as marriage, births, etc., be the sole responsibility of each building.
- Shall have a committee member make all purchases. The Chairperson will keep a record which will be available to all Associate members.
- Shall have each purchase immediately reported in writing to the Treasurer.
- Shall have one person designated from each building to serve on the Committee and send pertinent information as promptly as possible to the Chairperson. In the absence of the committee member, the building representative will send pertinent information to the chairperson.
- Shall designate the responsibility to each Association member to notify the Committee Chairperson if he knows of an illness or death during a school vacation period.
- Constitutional Revision Committee:
- Shall review and revise the Constitution as necessary.
- Crisis Committee:
- Shall undertake duties as directed by the Executive Committee.
- Shall coordinate crisis activities to keep the public and Association members informed in crisis situations.
- Special Committees:
- Shall be appointed as needed by the President with the consent of the Executive Committee or on the recommendations of at least twenty percent (20%) of the membership.
ARTICLE V – NOMINATIONS AND ELECTIONS
The procedure will be as follows:
- No later than April first, the President, with the consent of the Executive Committee, shall appoint an election committee of four or more members who shall present to the Association at the annual meeting in May, a slate consisting of at least one candidate for each office. The committee shall choose a chairperson by majority vote of the committee itself. The chairperson shall be responsible for issuing absentee ballots.
- Nominations may also be received from the floor.
- Voting will be by secret ballot no earlier than fifteen (15) days after the date of the nominations. Notice of elections will be mailed to members at their last known home address, or school mail boxes if school is in session.
- Absentee ballots will be issued by the chairperson to members who so request in writing at least 3 days prior to the election. The Chairperson shall record all such proceedings. These ballots will be returned personally to the Chairperson who will present them to the members of the election committee at the election.
- Four tellers representing different buildings shall be appointed by the President to count and report all voting. Members of the election committee shall be available to count and report all voting.
- Each candidate has the right to have an observer at the preparation of ballots, at the polls, and at the counting of the ballots.
- All members in good standing have the right to vote, and the secretary at the time of elections shall make available a list of such members, at the time of elections.
- The results of the election must be published and the ballots kept for one year, including used or challenged ballots, tally sheets, and related election documents. The ballots, tally sheets, and related election documents shall be put into a sealed envelope and kept by the Secretary for one year.
- If a run-off election is required it may be held at the same meeting provided the original notice of election is so stated.
- Persons receiving the most votes shall win the election.
ARTICLE VI – VACANCIES
Section 1 – When a vacancy occurs, the Executive Committee has the authority to name the personnel to complete the unexpired term, except in the case of the President.
Section 2 – In the event a vacancy occurs in the Office of the President, the Vice-President of the Association shall succeed to the Presidency and serve until the next annual election.
ARTICLE VII – DUES
Dues shall be determined annually based on the budget submitted by the Finance Committee and subject to the approval of the Association.
ARTICLE VIII – METHOD OF PAYMENT
Section 1 – All salaries shall be paid semi-annually. The first payment will be at the middle of December, and the second payment at the middle of May.
Section 2 – If any salaried person resigns or relinquishes his office before the end of any pay period his salary shall be prorated.
Section 3 – Any salaried person not fulfilling his duties shall not receive payment. The Executive Committee shall make such decisions.
ARTICLE IX – AGENCY FEE REFUND
Agency Fee Dues Refund: Any person making service payments to the Union in lieu of dues, as mandated by Chapter 677, Laws of 1977, as amended by Chapter 678, Laws of 1977 and Chapter 122, Laws of 1978, shall have the right to object to the expenditure of his/her portion of any part of any agency shop fee deduction which represents the employee’s pre-rata share of expenditures by the organization in aid of activities or caused of a political or ideological nature only incidentally related to terms and conditions of employment.
Such objections shall be made, if at all, by the objector individually notifying the Union President of his/her objection by registered or certified mail during the period between September 1st and 15* following the fiscal year for which the objection is made.
The approximate proportion of service fees spent by the Union for such purposes shall be determined annually, after each fiscal year of the Union. Refund of a pro-rated portion of the objector’s fees corresponding to such proportion shall thereafter be made to each individual who has timely filed a notice of objection, as provided above. The amount refunded shall include the individual’s prorated portion of refundable expenditures, if any, by the Union’s affiliates from monies forwarded by the Union to its affiliates.
ARTICLE X – COLLECTIVE BARGAINING (Article added entirely 9/11)
Approval or disapproval of any Collective Bargaining Agreement with the employer shall be determined by a majority vote of the members in good standing of this organization, from the unit to which the Collective Bargaining Agreement applies at a membership meeting called specifically for that purpose.
